PTA Sets New Conditions for Ufone–Telenor Merger Approval

The Pakistan Telecommunication Authority has imposed a set of regulatory conditions on the merger of Ufone and Telenor Pakistan to ensure compliance, transparency, and consumer protection during the consolidation process.

The order covers both the transfer of PTA licenses and the formal amalgamation of the two operators into a single entity, referred to as PTML/MergeCo. Regulators say the goal is to maintain market balance while safeguarding consumer interests.

A key requirement is financial separation within the merged entity. PTML/MergeCo must maintain separate accounts for its different business segments and submit detailed annual financial reports to the PTA. This is intended to ensure transparency and prevent any practices that could distort competition.

Consumer protection has also been emphasized. The merged company will not be allowed to engage in predatory pricing or impose unfair tariffs. Any pricing changes must be approved by the PTA, and the company is required to submit a service contract aligned with Telecom Consumer Protection Regulations.

In terms of service quality, the regulator has mandated strict adherence to existing Quality of Service (QoS) standards. PTML/MergeCo must meet or exceed benchmarks related to network performance, including speed, data throughput, and downtime for 4G and LTE services. The PTA has reserved the right to intervene if service quality declines.

The authority has also directed the company to ensure efficient management of radio spectrum and uninterrupted service delivery. Any new spectrum usage must comply with regulatory frameworks and should not negatively impact the broader telecom ecosystem.

Overall, the conditions are designed to ensure that the merger does not lead to monopolistic behavior while maintaining service standards and protecting consumers in Pakistan’s telecom sector.
